Terms of Service

1. Acceptance of Terms

By accessing or using Babuger's AI SDR platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service. By signing in with Google or linking your Gmail account, you also agree to comply with Google's Terms of Service.

2. Description of Service

Babuger provides an AI-powered Sales Development Representative (SDR) platform that automates email outreach, lead qualification, and meeting scheduling. Our AI agents send emails, respond to inquiries, classify intent, and book meetings on your behalf. The Service integrates with third-party providers including Google (for authentication), email delivery services (MailerSend, SendGrid, Resend), AI model providers (OpenRouter, Google Gemini), and calendar services (Cal.com).

3. Account Registration and Google Sign-In

To use our Service, you must:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Be at least 18 years old or have legal authority to enter into agreements
  • Have authority to bind your organization if registering on behalf of a company

If you register using "Sign in with Google," you authorize us to access your Google profile information (name, email address, and profile picture) for the purpose of creating and managing your account. You are responsible for:

  • Maintaining the security of your Google account
  • Any activity that occurs through your linked Google account on our platform
  • Notifying us immediately if you suspect unauthorized access to your account

You may revoke Babuger's access to your Google account at any time through your Google Account permissions. Doing so will prevent Google-based sign-in but will not delete your Babuger account or data.

4. Subscription Tiers and Usage Limits

The Service is offered under the following subscription tiers:

  • Free: Up to 150 AI-generated interactions per month, 1 agent
  • Pro: Up to 10,000 AI-generated interactions per month, up to 10 agents
  • Ultimate: Unlimited interactions and agents, option to use your own API key

We reserve the right to modify tier features, limits, and pricing with reasonable advance notice. Exceeding usage limits may result in temporary suspension of AI agent functionality until the next billing cycle or an upgrade to a higher tier.

5. Acceptable Use

You agree not to use our Service to:

  • Send spam or unsolicited communications in violation of applicable laws
  • Violate CAN-SPAM, GDPR, CCPA, or other email and privacy regulations
  • Harass, threaten, or defraud recipients
  • Transmit malware, viruses, or harmful code
  • Impersonate others or misrepresent your identity
  • Use the Service in a way that violates Google's Terms of Service or Acceptable Use Policy when using Google-authenticated features
  • Attempt to circumvent usage limits, rate limits, or access controls
  • Reverse-engineer, decompile, or attempt to extract source code from the Service
  • Violate any applicable laws or regulations

6. Email Compliance

You are responsible for ensuring that your use of our AI agents for email outreach complies with all applicable laws, including but not limited to:

  • CAN-SPAM Act (United States): Include valid sender information, accurate subject lines, and a working unsubscribe mechanism
  • GDPR (European Union): Ensure lawful basis for processing personal data of EU residents, including proper consent or legitimate interest
  • CCPA (California): Respect California residents' data rights and honor opt-out requests
  • CASL (Canada): Obtain express or implied consent before sending commercial electronic messages to Canadian recipients

You must have proper consent or legitimate interest to contact leads, must honor unsubscribe requests promptly, and must not use purchased or scraped email lists that violate applicable regulations. Failure to comply may result in immediate suspension of your account.

7. Third-Party Services and Integrations

The Service relies on and integrates with third-party services. By using the Service, you acknowledge and agree that:

  • Google services (OAuth, Gmail) are subject to Google's Terms of Service and Privacy Policy
  • Email delivery depends on third-party providers (MailerSend, SendGrid, Resend) and is subject to their respective terms and deliverability policies
  • AI-powered features depend on third-party AI model providers and may be subject to their usage policies
  • Meeting scheduling depends on Cal.com availability and terms
  • We are not responsible for outages, changes, or discontinuation of third-party services beyond our control

8. Intellectual Property

The Service, including its software, design, logos, and content, is owned by Babuger and protected by intellectual property laws. You retain ownership of your data and content uploaded to the platform. By uploading content, you grant us a limited, non-exclusive license to use that content solely to provide the Service to you (e.g., to train AI agents on your messaging style and to send emails on your behalf).

9. AI-Generated Content

Our AI agents generate email content based on your configuration, training data, and instructions. You acknowledge that:

  • AI-generated content may contain errors, inaccuracies, or unintended messaging
  • You are ultimately responsible for all communications sent from your account, whether AI-generated or manually composed
  • We do not guarantee that AI-generated content will achieve specific business results
  • AI models and their outputs may change over time as providers update their systems
  • You should review AI agent configurations and monitor conversations, especially during initial setup

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that emails sent through the Service will be delivered, opened, or achieve any particular outcome.

11. Limitation of Liability

To the maximum extent permitted by law, Babuger shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business opportunities, or reputation, arising from your use of the Service, reliance on AI-generated content, third-party service failures, or email delivery issues. Our total aggregate liability for all claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold Babuger and its officers, directors, employees, and agents harmless from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) emails or communications sent through your account; (c) violation of these Terms; (d) violation of applicable laws or regulations, including email compliance laws; or (e) infringement of any third-party rights.

13. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, suspected fraudulent activity, or for any other reason with reasonable notice. You may terminate your account at any time by contacting us. Upon termination:

  • Your right to use the Service will immediately cease
  • Active AI agent campaigns will be stopped
  • You may request an export of your data within 30 days of termination
  • Your Google account link will be revoked on our end
  • We may retain certain data as required by law or for legitimate business purposes

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from or related to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining provisions remain in full force and effect.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes at least 30 days in advance via email or through a prominent notice in the Service. Continued use of the Service after the effective date of changes constitutes acceptance of the new Terms. If you do not agree to the updated Terms, you must stop using the Service and may request account deletion.
